FRACTIONAL CMO SCHOOL — TERMS & CONDITIONS
These Terms & Conditions (“Terms”) govern your purchase, enrollment, access, and participation in Fractional CMO School (the “Program”), operated by Jessica Shirra Marketing Inc., a company registered in British Columbia, Canada, doing business as The CMO Office and Fractional CMO School (“Company,” “we,” “us,” or “our”).

By purchasing, enrolling in, accessing, or participating in the Program, you (“Client,” “Participant,” “Member,” or “you”) agree to be legally bound by these Terms.
If you do not agree to these Terms, do not purchase or access the Program.
1) Program Overview
Fractional CMO School is an educational training program designed to teach marketing professionals how to build and grow a fractional CMO business, including positioning, offers, delivery, marketing, sales, client strategy, and operational execution.
The Program may include, without limitation:
Digital training modules
Templates, worksheets, and vault resources
A community hosted in Circle
Group calls and coaching sessions hosted on Zoom
Guest trainings and additional resources (optional)
The Company may update, modify, replace, or remove Program materials over time, provided the core Program remains substantially available.
2) Eligibility
You must be at least 18 years old to purchase, enroll in, or participate in Fractional CMO School.
By purchasing, you represent and warrant that you are 18+ and legally able to enter into a binding agreement.
3) Platforms, Delivery & Technology Requirements
3.1 Delivery Platforms
Fractional CMO School is delivered primarily through:
Circle (community and program portal)
Zoom (live calls)
3.2 Third-Party Platforms
The Program may also reference or include third-party tools and services (for example: AI platforms, file tools, marketing platforms, or other software).
You understand and agree that the Company is not responsible for outages, policy changes, feature limitations, or account restrictions imposed by third-party platforms.
3.3 Your Technology Responsibility
You are responsible for ensuring you have the required technology, internet access, and device compatibility to participate in the Program.
Technology issues on your end do not qualify for refunds.
4) Payment Terms
4.1 Pricing
Fractional CMO School is offered at:
Paid in Full: $5,997 USD
Payment Plan: Six (6) payments of $1,297 USD
All prices are in USD unless otherwise stated at checkout.
4.2 Payment Authorization
By purchasing, you authorize the Company and its payment processor(s) to charge your selected payment method for the purchase price in full or according to the payment plan selected.
4.3 Payment Plans Are a Commitment
If you choose a payment plan, you agree to pay the full amount of the Program. Payment plans are provided as a convenience, not as a subscription.
You remain responsible for completing all payments regardless of:
participation level
attendance
completion
satisfaction
results
4.4 Failed Payments & Access Suspension
If a payment fails or becomes overdue, the Company may suspend your access to the Program until your account is brought current.
If payments remain unpaid, the Company may permanently revoke access and pursue lawful remedies to recover amounts owed.
4.5 No Payment Plan Pauses
Payment plans are not eligible for pausing or deferral unless the Company provides written approval.
5) Refund Policy
All sales are final. No refunds are offered for Fractional CMO School for any reason, except where required by applicable law.
You understand that the Program includes digital content and immediate access to proprietary materials, and you waive any right to cancel or rescind your purchase except where legally required.
6) Chargeback Policy
You agree not to initiate a chargeback without first contacting hello@thecmooffice.com and allowing a reasonable period for resolution.
Unwarranted chargebacks are a material breach of these Terms and may result in:
Immediate termination of access without refund
Dispute of the chargeback with supporting documentation
Recovery of chargeback fees, administrative costs, and legal fees where permitted by law
7) Access Terms
7.1 Lifetime Access — Course + Template Vault
You receive lifetime access to:
the core course content, and
the template vault
“Lifetime access” means for as long as Fractional CMO School continues to exist and is offered by the Company in its current or successor format.
The Company may retire, discontinue, or replace the Program at any time.
7.2 Six-Month Access — Community + Calls + Replays
You receive six (6) months of access from your purchase date to:
the Circle community
live calls
call replays
time-based program support and interactive elements
After the six-month period ends, access to community spaces, calls, and replays may be removed even if you retain lifetime course/vault access.
7.3 Calls, Replays, and Recording Availability
The Company may record live calls and make replays available during your six-month access window.
Replays are provided as a convenience and are not guaranteed. The Company is not responsible for replay availability due to technical issues, third-party platform outages, or recording failures.
7.4 No Replay Downloads
Participants may not download, distribute, share, or repost call replays.
8) Intellectual Property (IP), License & Use Restrictions
8.1 Ownership
All Program content, curriculum, materials, templates, frameworks, vault resources, recordings, videos, documents, written materials, and training assets (collectively, the “Content”) are owned by the Company and/or its licensors and are protected by copyright, trademark, and other intellectual property laws.
Nothing in these Terms transfers ownership of any Content to you.
8.2 License Grant
Upon purchase and during your valid access period, the Company grants you a limited, revocable, non-exclusive, non-transferable license to access and use the Content for:
your personal education, and
your internal business use
8.3 Prohibited Uses
Without the Company’s prior written consent, you may not:
Share your login credentials or grant access to any other person
Share templates, worksheets, vault materials, recordings, or resources with non-purchasers
Copy, reproduce, distribute, sell, publish, or display Program Content
Claim authorship of Company Content
Incorporate Program frameworks, curriculum, templates, or materials into your own courses, certifications, trainings, communities, or membership programs
Use Program Content to create or support a competing program, course, or training that teaches how to build or operate a fractional CMO business (or substantially similar business model training)
Use Program Content to train AI systems or build prompt libraries, GPTs, or similar tools for resale, distribution, or public release
8.4 Using What You Learn With Clients (Permitted)
You may apply what you learn in your own business and in your work with clients.
However, you may not distribute Company materials, templates, vault resources, or recordings directly to clients, nor represent Company frameworks as your proprietary system.
8.5 Enforcement
Violation of this Section may result in immediate removal from the Program, termination of access without refund, and legal action.
9) AI Tools & AI-Generated Materials
9.1 AI Tools
The Program may include AI tools such as custom GPTs, prompt libraries, or AI-assisted training resources (“AI Tools”).
9.2 No Accuracy Guarantee
AI outputs may be inaccurate, incomplete, biased, or outdated. You are responsible for reviewing and verifying AI outputs before using them.
9.3 Prohibited AI Use
You agree not to:
input confidential client information, protected personal data, or sensitive materials into Program AI Tools
use Company prompts or AI assets to train other AI tools for resale or distribution
repackage Company prompt libraries, GPT instructions, or AI assets as your own product
10) Community Standards, Conduct & Removal
10.1 Respectful Participation
Fractional CMO School includes a community environment intended to be respectful, professional, and productive.
You agree to engage respectfully with other participants, staff, and guests.
10.2 Prohibited Conduct
You agree not to engage in:
harassment, bullying, or intimidation
discrimination or hate speech
defamation, threats, or incitement of violence
spamming, solicitation, or unsolicited pitching inside the community
disruptive behavior that interferes with the learning environment
10.3 Removal Without Refund
The Company reserves the right, in its sole discretion, to remove you from the Program, community, calls, or portal without refund if you violate these Terms or disrupt the Program environment.
Removal may include revocation of access to materials and community spaces.
11) Confidentiality
11.1 Peer Confidentiality
You agree to keep confidential any personal, business, or strategic information shared by other participants within the community or calls.
11.2 No Guarantee of Privacy
While confidentiality is expected, the Company cannot guarantee privacy for information shared in group settings.
You should exercise discretion when sharing personal or sensitive information.
12) Testimonials, Recordings & Marketing Use
12.1 Consent to Use
By participating in the Program, you grant the Company permission to collect, use, reproduce, publish, and distribute:
testimonials you submit
messages or comments posted in the Circle community
screenshots of community posts or conversations
comments made on calls
direct messages, emails, or feedback shared with the Company
call recordings containing your voice, image, or contributions
12.2 License Granted
You grant the Company a worldwide, perpetual, irrevocable, royalty-free, transferable, sublicensable license to use your name, likeness, business name, and content contributions for marketing, promotional, educational, or commercial purposes, in any media format now known or later developed.
12.3 No Compensation
You agree you will not receive compensation for this use and waive any right to review or approve materials before publication.
13) Disclaimers & No Guarantees
13.1 Educational Purpose Only
All Program content is provided for educational and informational purposes only and does not constitute legal, financial, accounting, tax, medical, or other professional advice.
13.2 No Earnings Guarantee
The Company makes no guarantees regarding revenue, profit, business growth, client acquisition, or results.
Any examples, case studies, or testimonials are illustrative only and do not represent a promise of results.
13.3 Assumption of Risk
You are solely responsible for your decisions, actions, and outcomes. You accept full responsibility for how you implement any information provided.
14) Limitation of Liability
To the fullest extent permitted by law, the Company’s total liability for any claim arising out of or relating to the Program shall not exceed the amount you paid for Fractional CMO School.
The Company will not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, including loss of profits, loss of data, business interruption, or reputational harm.
15) Indemnification
You agree to indemnify and hold harmless the Company and its officers, directors, employees, contractors, agents, and affiliates from any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from:
your participation in the Program
your breach of these Terms
your violation of law
your misuse of Program content
your infringement of third-party rights
16) Governing Law & Dispute Resolution
16.1 Governing Law
These Terms are governed by the laws of British Columbia, Canada, without regard to conflict of laws principles.
16.2 Good Faith Resolution First
Before initiating legal action, you agree to contact hello@thecmooffice.com with a written description of the issue and allow a reasonable period for good-faith resolution.
16.3 Dispute Resolution Venue
Any dispute, claim, or controversy arising out of or relating to these Terms or the Program shall be resolved in British Columbia, Canada, unless otherwise required by law.
The Company may elect to resolve disputes through private dispute resolution or arbitration where permitted.
17) Changes to These Terms
The Company may update these Terms from time to time. Updated Terms will be effective upon posting.
Your continued access to or participation in the Program after updates constitutes acceptance of the revised Terms.
18) Termination
The Company reserves the right to terminate or restrict access to the Program if you breach these Terms.
Termination for breach does not entitle you to a refund.
19) Entire Agreement
These Terms constitute the entire agreement between you and the Company regarding Fractional CMO School and supersede all prior communications, representations, or agreements.
20) Acceptance & Electronic Signature
By purchasing, checking any box indicating agreement, signing electronically, or accessing the Program, you:
acknowledge you have read and understood these Terms
agree to be legally bound by them
consent to enter into this agreement electronically
confirm you are at least 18 years old
